Terms & Conditions for EZ Patch Drywall Repair

These Terms & Conditions ("Terms") govern your access to and use of our Site and the drywall repair services we provide (collectively, the "Services"). Providing accurate and truthful information when making inquiries or booking services.

Complying with all applicable local, provincial, federal, and international laws and regulations.

3.2 Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Unlawful Use: Using the Services for any illegal purpose or in violation of any local, provincial, federal, or international law.

Harmful Conduct: Engaging in any conduct that could damage, disable, overburden, or impair the Site or interfere with any other party's use of the Services.

Misrepresentation: Providing false, inaccurate, or misleading information, including impersonating any person or entity.

Unauthorized Access: Attempting to gain unauthorized access to any portion of the Site, other user accounts, or computer systems or networks connected to the Services, through hacking, password mining, or any other means.

Automated Use: Using any automated system, including "robots," "spiders," or "offline readers," to access the Site in a manner that sends more request messages to our servers in a given period than a human can reasonably produce in the same period using a conventional web browser.

Data Harvesting: Collecting or harvesting any personally identifiable information, including account names, from the Services.

Commercial Use: Using the Services for any commercial purposes beyond those explicitly offered by EZ Patch Drywall Repair, such as reselling or sublicensing our services.

Interference: Introducing viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.

By making any user content available on or through the Services, you hereby grant to EZ Patch Drywall Repair a non-exclusive, worldwide, royalty-free, irrevocable, perpetual, sublicensable, and transferable license to use, copy, modify, create derivative works based upon, distribute, publicly display, publicly perform, and otherwise exploit your user content in connection with the operation of the Services and our business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels.

You represent and warrant that: (i) you are the sole and exclusive owner of all user content or you have all rights, licenses, consents, and releases that are necessary to grant to EZ Patch Drywall Repair the rights in such user content, as contemplated under these Terms; and (ii) neither the user content nor your posting, uploading, publication, submission, or transmittal of the user content or EZ Patch Drywall Repair's use of the user content (or any portion thereof) will infringe, misappropriate, or violate a third party's intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation.

6. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. EZ PATCH DRYWALL REPAIR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EZ PATCH DRYWALL REPAIR, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICES. THIS LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF EZ PATCH DRYWALL REPAIR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

NOTWITHSTANDING THE FOREGOING, IF EZ PATCH DRYWALL REPAIR IS FOUND LIABLE FOR ANY DAMAGE OR LOSS WHICH ARISES OUT OF OR IS IN ANY WAY CONNECTED WITH YOUR USE OF THE SERVICES, OUR LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100.00) IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO EZ PATCH DRYWALL REPAIR, WHICHEVER IS GREATER.

8. Indemnification

You agree to defend, indemnify, and hold harmless EZ Patch Drywall Repair, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your user content, any use of the Site's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Site.

9. Account Termination

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

You may terminate your use of the Services at any time by contacting us through the provided contact information.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.

11. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or validity thereof, shall first be attempted to be resolved informally through direct negotiation between the parties.

If the dispute cannot be resolved informally within sixty (60) days, the parties agree to submit the dispute to mediation in Halifax, Nova Scotia, Canada, with a mutually agreed-upon mediator.

If mediation is unsuccessful, any unresolved dispute shall be finally resolved by binding arbitration administered by a single arbitrator in accordance with the rules of the Canadian Arbitration Association. The arbitration shall take place in Halifax, Nova Scotia, Canada. The decision of the arbitrator shall be final and binding upon both parties and may be entered in any court of competent jurisdiction.

12. Modification Process

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Services.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
